Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and xthAB Limited ("Villip", "we", "us"), a company registered in England and Wales, governing your access to and use of the Villip communications platform, APIs, dashboard, documentation, and related services (collectively, the "Service").

By creating an account, accessing the API, or using any part of the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Service Description

Villip provides programmable communications APIs including SMS messaging, and in future phases, voice calling, phone number provisioning, and identity verification services. The Service is provided on a prepaid, pay-as-you-go basis.

3. Account Registration

You must provide accurate and complete registration information. You are responsible for maintaining the security of your account credentials, including API keys. You must notify us immediately at security@villip.xyz if you suspect unauthorised access to your account.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You must not use the Service for any unlawful purpose, to send unsolicited messages, or in any manner that could damage, disable, or impair the Service.

5. Pricing and Payment

The Service operates on a prepaid basis. You must maintain a positive credit balance to use billable features. Current rates are published on our pricing page. We reserve the right to modify rates with 30 days' written notice. All charges are in GBP and exclusive of applicable taxes.

6. Service Level Agreement

Service availability commitments are set out in our Service Level Agreement. Service credits are the sole and exclusive remedy for any failure to meet stated uptime commitments.

7. Data Protection

We process personal data in accordance with our Privacy Policy. Where you act as a data controller and Villip processes personal data on your behalf, the terms of our Data Processing Agreement apply.

8. Intellectual Property

Villip and its licensors retain all rights in the Service, including all software, documentation, trademarks, and proprietary technology. You retain all rights in the data you submit through the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Villip's total aggregate liability arising from or related to these Terms shall not exceed the amounts paid by you in the 12 months preceding the claim. Villip shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

Either party may terminate these Terms at any time. You may close your account through the dashboard or by contacting support@villip.xyz. We may suspend or terminate your account for breach of these Terms or our Acceptable Use Policy. Upon termination, your remaining credit balance will be refunded in accordance with our refund policy, less any outstanding charges.

11. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from these Terms.
